Terms and Conditions

GOODS AND SERVICES COVERED BY THIS ORDER ARE BEING SOLD ONLY IN ACCORDANCE WITH THE TERMS AND CONDITIONS CONTAINED HEREIN, AND IN SELLER’S QUOTATION OR ACKNOWLEDGMENT IF ANY, INCLUDING THE TERMS AND CONDITIONS PRINTED ON THE REVERSE SIDE THEREOF. SELLER OFFERS TO SELL THE GOODS OR SERVICES DESCRIBED HEREIN ONLY UPON THE TERMS AND CONDITIONS CONTAINED HEREIN. THE OFFER SHALL BE DEEMED ACCEPTED AND SHALL BECOME A BINDING CONTRACT ON THE TERMS AND CONDITIONS CONTAINED HEREIN, (A) WHEN SIGNED AND RETURNED BY BUYER, OR (B) WHEN BUYER ISSUES ITS ORAL OR WRITTEN ACKNOWLEDGEMENT, OR (C) WHEN SELLER COMMENCES PERFORMANCE, OR (D) WHEN BUYER OTHERWISE ACCEPTS THIS OFFER. BY ACCEPTING THIS OFFER, BUYER WAIVES ALL TERMS AND CONDITIONS CONTAINED IN BUYER’S PURCHASE ORDER OR OTHER DOCUMENTS WHICH ARE DIFFERENT FROM OR ADDITIONAL TO THOSE CONTAINED HEREIN (WHETHER OR NOT BUYER SENDS ITS DOCUMENTS BEFORE OR AFTER SELLER SENDS THIS FORM), AND ALL SUCH DIFFERENT OR ADDITIONAL TERMS AND CONDITIONS SHALL BE NULL AND VOID AND OF NO EFFECT.

1. Price. Prices are subject to change by Seller without notice. Increases in labor, freight and material costs before completion of contract plus applicable overhead as well as surcharges may be invoiced to Buyer.

2. Delivery or Performance. Unless otherwise specified on the face hereof, all deliveries are F.O.B. point of shipment. Shipment will be made in accordance with instructions issued by Seller. Upon delivery of goods to carrier, Buyer assumes risk of all loss and damage resulting from any cause whatsoever. Shipping, delivery or performance dates are approximate and are not guaranteed. Seller will use reasonable commercial efforts to meet the delivery dates but is not liable for any direct or indirect costs resulting from late delivery. Seller reserves the right to ship and invoice for a quantity of goods which may vary up to ten percent over or under the quantity specified and Buyer agrees to accept delivery and pay for such revised quantity and consider the shipment to be complete. Partial deliveries shall be accepted by the Buyer and paid for at contract prices and terms. Buyer shall have no right to delay the delivery or shipment date. Seller may charge storage charges for any goods which it holds for Buyer.

3. Force Majeure. Seller shall not be liable for any delay or other failure of performance due to causes beyond its reasonable control, including without limitation acts of God, acts of Buyer, acts of military or civil authorities, fire or other casualty, strikes, lockouts, weather, epidemic, war, riot, delays in transportation or car shortages, inability to obtain necessary labor, materials, components, equipment, services, energy or utilities through Seller’s usual and regular sources at usual and regular prices or failure or inability of the manufacturer of the goods to perform. In any such event, Seller may, with notice to Buyer, at any time and from time to time without further liability to Buyer (a) postpone its performance, (b) make partial performance or cancel all or any portion of this contract or (c) allocate available quantities among its customers in any manner which Seller deems reasonable. Cancellation of any part of this contract shall not affect Seller’s right to payment for performance of any other part hereof.

4. Warranty and Remedy. Unless otherwise expressly stated on the face hereof, Seller warrants to Buyer, for a period of 30 days from the date of shipment and/or performance of services, that the goods delivered hereunder conform to Seller’s then Current Specifications. Materials and services furnished by Seller’s suppliers or subcontractors and supplied by Seller to Buyer are warranted by Seller only to the extent of the supplier’s or subcontractor’s express warranty to Seller and only to the extent such party honors its warranty after notification by Seller. If during such period Buyer promptly notifies Seller in writing of any breach of such warranty and complies with Seller’s applicable warranty procedures, Seller shall thereupon, at Seller’s option, re-perform services, repair or replace any defective goods at Seller’s plant or refund the price of the goods or services or part thereof which gives rise to the claim. The foregoing shall constitute the sole and exclusive remedy of Buyer and the full liability of Seller for any breach of warranty. THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER WRITTEN, ORAL OR IMPLIED, INCLUDING ANY WARRANTY OF PERFORMANCE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE FOREGOING WARRANTY SUPERSEDES AND EXCLUDES ANY ORAL WARRANTIES OR REPRESENTATIONS, OR WRITTEN WARRANTIES OR REPRESENTATIONS MADE OR IMPLIED INCLUDING, WITHOUT LIMITATION, IN ANY MANUAL, LITERATURE, ADVERTISING BROCHURE OR ANY OTHER MATERIALS OR BASED ON CUSTOM OR OTHERWISE. ALL WARRANTIES OF PERFORMANCE, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED. Seller shall have no liability for any damages or claims if Buyer uses goods that do not conform to Current Specifications. If Buyer has made any repairs or alterations to any goods, Buyer will have waived all warranty claims. No warranties may be assigned to any subsequent Purchaser or user of the goods or services. Current Specifications means the current technical drawings of the manufacturer of the goods.

5. Limitations of Seller’s Liability. Seller’s liability on any claim of any kind, including, without limitation, negligence, with respect to goods or services shall in no case exceed the purchase price of the good or service or part thereof which gives rise to the claim. IN NO EVENT SHALL SELLER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OR SIMILAR DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR ECONOMIC DAMAGES), OR FOR DAMAGES IN THE NATURE OF PENALTIES.

6. Buyer’s Use. Buyer assumes sole responsibility for analyzing and determining the suitability of any services and goods supplied by Seller including all parts and components and Buyer agrees that it is not relying on Seller in making such determination even if Seller provided assistance, guidance or design. Buyer assumes full responsibility for any particular use or purpose. Buyer will not order or use any goods or services unless it is satisfied that the goods and services are suitable for Buyer’s use and conform to all of its requirements. Buyer agrees to store and use all goods and services in a safe manner. Seller is cautioning Buyer that not all products are compatible with plastic, glass, metal or the other goods and Buyer agrees not to use any goods with any abrasive, caustic or acid solutions or any other substance which may cause injury to persons or property.

7. Limitation of Actions. Any action against Seller with respect to the goods or services which are the subject of this contract will be forever barred and waived and released by Buyer if it is not commenced by Buyer within one year from the date of delivery of the particular good or service which gives rise to the claim.

8. Indemnification and Waiver. Buyer shall defend, indemnify and hold harmless Seller from any cost, loss or damage sustained by Seller and from and against all claims asserted against Seller by Buyer or any other party with respect to the goods or services which are the subject of this contract. This indemnity includes but is not limited to costs, loss, damages and claims arising in whole or in part out of (a) failure of Buyer, its agents, employees or customers to follow specifications, instructions, warnings or recommendations furnished by Seller, (b) failure of Buyer, its agents, employees or customers to comply with all applicable laws and regulations, including, but not limited to any applicable Federal, state and local laws and regulations governing hazardous materials or safety, all as they may be amended or supplemented from time to time, (c) misuse of the goods by Buyer, its agents, employees or customers including use of goods with any substance that causes injury to person or property, (d) misrepresentation by Buyer, its agents, employees or customers, (e) the sole or contributing negligence of Buyer, its agents, employees or customers, or (f) alleged infringement of any patent, trademark or copyright as a result of Seller’s performance in accordance with Buyer’s designs, plans, specifications or directions, (g) any and all lawsuits, liabilities, damages, injuries, claims, demands and expenses (including attorneys’ fees and legal expenses) of whatever kind and nature arising on account of the manufacture, use, storage, maintenance or repair of any of Seller’s goods regardless of by whomever manufactured, used, operated, maintained or stored and/or arising as a result of claims based upon strict liability imposed upon Seller except for claims directly resulting from Seller’s gross negligence. Buyer hereby waives and releases Seller from all rights of contribution or indemnity to which it may otherwise be entitled. As used in paragraph 8 hereof, the term “Seller” shall mean the Seller, its officers, directors, employees, parent, subsidiaries, divisions, affiliates, successors and assigns. This Indemnity shall continue in full force and effect notwithstanding the termination of any order or contract.

9. Cancellation by Buyer. Buyer may cancel this contract only upon Seller’s written agreement and payment of reasonable cancellation charges including, without limitation, (1) the price for goods, services and raw materials completed or ordered prior to Seller’s receipt of such notice together with reasonable profit thereon, (2) all costs previously incurred in connection with uncompleted goods or services together with reasonable profit thereon, and (3) all other expenses incurred by Seller by reason of such cancellation.

10. Taxes. All taxes and other charges imposed by federal, state, local or foreign governments on the manufacture, sale, shipment, import, export or use of the goods (other than income taxes) are not included in the price and shall be paid by Buyer. Buyer shall defend, indemnify and hold harmless Seller from and against all liabilities for such taxes or charges and attorney’s fees or costs incurred by Seller in connection therewith. If applicable, Buyer shall provide Seller with a tax exemption certificate from the taxing authorities.

11. Advice and Assistance. Upon request, Seller in its discretion may furnish to Buyer technical advice, design services or assistance regarding the goods or services. Seller assumes no obligation or liability for the advice, services or assistance given or results obtained, which shall be at Buyer’s sole risk.

12. Buyer’s Materials. All of Buyer’s tooling, goods, and other property in Seller’s possession shall be fully insured by Buyer and Buyer releases Seller from all liability for loss or damage to such material caused by Seller’s negligence or otherwise. Whenever one year has elapsed since the completion of any order from Buyer requiring the use of such materials, Seller may make any use or disposition of such materials without any liability to Buyer.

13. Seller’s Proprietary Rights. Seller shall be the sole owner of all drawings, inventions, tooling and improvements made by or for Seller in connection with the performance of this contract. Buyer shall not reproduce any drawing furnished by Seller. Buyer shall not use or disclose any of Seller’s trade secrets or confidential information, whether or not designated as such, except as required in connection with the use or resale of the goods or services covered by this contract.

14. Credit and Collection. Seller is relying upon Buyer’s representation of solvency and if Seller at any time reasonably believes that Buyer is insolvent or its credit is impaired, Buyer shall be in material breach hereof and Seller may, without liability to Buyer, withhold performance, change payment terms and/or repossess goods previously delivered. Title to goods shall remain in Seller until payment in full is received. In extending any credit hereunder, Buyer shall pay to Seller interest on the unpaid amount at the maximum annual rate permitted by law or 1-1/2% per month, whichever is less and if Buyer fails to pay according to the terms of this contract, Seller may make such charges and may also collect the amount unpaid with Buyer being liable to Seller for all costs of collection including attorney’s fees and court costs.

15. Buyer’s Financial Responsibility. If Seller shall at any time doubt Buyer’s financial responsibility, Seller may demand adequate assurance of due performance or decline to make any further shipments except upon receipt of cash payment in advance or security. If Seller demands adequate assurance of due performance and the same is not forthcoming within 10 days after the date of Seller’s demand, Seller may at its option (1) defer shipments under any order from Buyer which Seller has accepted until adequate assurances are received or (2) cancel this order and any other order from Buyer which Seller has accepted and recover damages.

16. Miscellaneous. This contract constitutes the entire agreement between Buyer and Seller relating to the goods or services which are the subject hereof. No modifications shall be binding upon the Seller unless in writing signed by Seller’s duly authorized representative. If any term or provision of this contract shall to any extent be invalid or unenforceable, such provision will be enforced to the maximum extent permitted by applicable law and the remainder of the contract shall not be affected thereby, and each term and provision of this contract shall continue to be valid and enforced to the fullest extent permitted by law. No waiver by either party of default shall be deemed a waiver of any subsequent default. The captions used herein shall have no substantive significance.

17. Choice of Law and Jurisdiction. These terms and conditions shall be construed in accordance with the laws of the State of Illinois, without regard to principles governing conflicts of laws. Buyer and Seller consent to the exclusive jurisdiction and venue of the federal and state courts situated in or having their situs over Chicago, Illinois, United States of America, provided either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

18. Attorneys’ Fees. If Seller pursues any legal action to enforce any of its rights, Seller shall be entitled to recover from Buyer all reasonable attorneys’ fees and all other costs and expenses incurred by Seller in connection with such action.

Buyer will not order or use any goods or services unless it is satisfied that the goods and services are suitable for Buyer’s use and conform to all of its requirements. Buyer agrees to store and use all goods and services in a safe manner. Seller is cautioning Buyer and Buyer acknowledges that not all products are compatible with plastic, glass, metal or the other goods and Buyer agrees not to use any goods with any abrasive, caustic or acid solutions or any other substance which may cause injury to persons or property.

7. Limitation of Actions. Any action against Seller with respect to the goods or services which are the subject of this contract will be forever barred and waived and released by Buyer if it is not commenced by Buyer within one year from the date of delivery of the particular good or service which gives rise to the claim notwithstanding any applicable limitations legislation.

8. Indemnification and Waiver. Buyer shall defend, indemnify and hold harmless Seller from any cost, loss or damage sustained by Seller and from and against all claims asserted against Seller by Buyer or any other party with respect to the goods or services which are the subject of this contract. This indemnity includes but is not limited to costs, loss, damages and claims arising in whole or in part out of (a) failure of Buyer, its agents, employees or customers to follow specifications, instructions, warnings or recommendations furnished by Seller, (b) failure of Buyer, its agents, employees or customers to comply with all applicable laws and regulations, including, but not limited to any applicable federal, state/provincial and local laws and regulations governing hazardous materials or safety, all as they may be amended or supplemented from time to time, (c) misuse of the goods by Buyer, its agents, employees or customers including use of goods with any substance that causes injury to person or property, (d) misrepresentation by Buyer, its agents, employees or customers, (e) the sole or contributing negligence of Buyer, its agents, employees or customers, or (f) alleged infringement of any patent, trademark or copyright as a result of Seller’s performance in accordance with Buyer’s designs, plans, specifications or directions, (g) any and all lawsuits, liabilities, damages, injuries, claims, demands and expenses (including attorneys’ fees and legal expenses) of whatever kind and nature arising on account of the manufacture, use, storage, maintenance or repair of any of Seller’s goods regardless of by whomever manufactured, used, operated, maintained or stored and/or arising as a result of claims based upon strict liability imposed upon Seller except for claims directly resulting from Seller’s gross negligence. Buyer hereby waives and releases Seller from all rights of contribution or indemnity to which it may otherwise be entitled. As used in paragraph 8 hereof, the term “Seller” shall mean the Seller, its officers, directors, employees, parent, subsidiaries, divisions, affiliates, successors and assigns. This Indemnity shall continue in full force and effect notwithstanding the termination of any order or contract.

Buyer agrees that such cancellation charges are a genuine pre-estimate of the damages suffered by Seller as a result of such cancellation and shall not be construed as a penalty.

10. Taxes. All taxes and other charges imposed by federal, state/province, local or foreign governments on the manufacture, sale, shipment, import, export or use of the goods (other than income taxes) are not included in the price and shall be paid by Buyer. Buyer shall defend, indemnify and hold harmless Seller from and against all liabilities for such taxes or charges and attorney’s fees or costs incurred by Seller in connection therewith. If applicable, Buyer shall provide Seller with a tax exemption certificate from the taxing authorities.

11. Advice and Assistance. Upon request, Seller in its discretion may furnish to Buyer technical advice, design services or assistance regarding the goods or services. Seller assumes no obligation or liability for the advice, services or assistance given or results obtained, which shall be at Buyer’s sole risk.

12. Buyer’s Materials. All of Buyer’s tooling, goods, and other property in Seller’s possession shall be fully insured by Buyer and Buyer releases Seller from all liability for loss or damage to such material caused by Seller’s negligence or otherwise. Whenever one year has elapsed since the completion of any order from Buyer requiring the use of such materials, Seller may make any use or disposition of such materials without any liability to Buyer.

Buyer shall not use or disclose any of Seller’s trade secrets or confidential information, whether or not designated as such, except as required in connection with the use or resale of the goods or services covered by this contract or otherwise required by applicable law.

Seller is relying upon Buyer’s representation of solvency and if Seller at any time reasonably believes that Buyer is insolvent or its credit is impaired, Buyer shall be in material breach hereof and Seller may, without liability to Buyer, withhold performance, change payment terms and/or repossess goods previously delivered. Title to goods shall remain in Seller until payment in full is received. In extending any credit hereunder, Buyer shall pay to Seller interest on the unpaid amount at the maximum annual rate permitted by law or 1.5% per month (18% per annum), whichever is less and if Buyer fails to pay according to the terms of this contract, Seller may make such charges and may also collect the amount unpaid with Buyer being liable to Seller for all costs of collection including attorney’s fees and court costs. Unless otherwise mutually agreed in writing, all invoices must be paid via electronic funds transfer (EFT) or check.

15. Buyer’s Financial Responsibility. If Seller shall at any time doubt Buyer’s financial responsibility, Seller may demand adequate assurance of due performance or decline to make any further shipments except upon receipt of cash payment in advance or security. If Seller demands adequate assurance of due performance and the same is not forthcoming within 10 days after the date of Seller’s demand, Seller may at its option (1) defer shipments under any order from Buyer which Seller has accepted until adequate assurances are received or (2) cancel this order and any other order from Buyer which Seller has accepted and recover damages.

16. Miscellaneous. This contract constitutes the entire agreement between Buyer and Seller relating to the goods or services which are the subject hereof. No modifications shall be binding upon the Seller unless in writing signed by Seller’s duly authorized representative. If any term or provision of this contract shall to any extent be determined to be invalid or unenforceable, such provision will be enforced to the maximum extent permitted by applicable law and the remainder of the contract shall not be affected thereby, and each term and provision of this contract shall continue to be valid and enforced to the fullest extent permitted by law. No waiver by either party of a default shall be deemed a waiver of any subsequent default. The headings used herein shall have no substantive significance.

17. Choice of Law and Jurisdiction. These terms and conditions shall be construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to principles governing conflicts of laws. Buyer and Seller consent to the exclusive jurisdiction and venue of the courts situated in the city of Toronto, Ontario, Canada, provided either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

18. Attorneys’ Fees. If Seller pursues any legal action to enforce any of its rights, Seller shall be entitled to recover from Buyer all reasonable attorneys’ fees and all other costs and expenses incurred by Seller in connection with such action.

LES MARCHANDISES ET SERVICES COUVERTS PAR CETTE COMMANDE SONT VENDUS SEULEMENT CONFORMÉMENT AUX CONDITIONS GÉNÉRALES STIPULÉES DANS LA PRÉSENTE AINSI QUE DANS L’OFFRE OU LA CONFIRMATION DU VENDEUR, LE CAS ÉCHÉANT, Y COMPRIS LES CONDITIONS GÉNÉRALES IMPRIMÉES AU VERSO. LE VENDEUR PROPOSE DE VENDRE LES MARCHANDISES OU LES SERVICES DÉCRITS DANS LA PRÉSENTE UNIQUEMENT SELON LES CONDITIONS GÉNÉRALES STIPULÉES DANS LA PRÉSENTE. L’OFFRE SERA CONSIDÉRÉE COMME ACCEPTÉE ET DEVIENDRA UN CONTRAT AYANT FORCE OBLIGATOIRE SELON LES CONDITIONS GÉNÉRALES STIPULÉES DANS LA PRÉSENTE (A) LORSQU’ELLE SERA SIGNÉE ET RETOURNÉE PAR l’ACHETEUR, OU (B) LORSQUE L’ACHETEUR LA CONFIRME PAR ORAL OU PAR ÉCRIT, OU (C) LORSQUE L’ACHETEUR ACCEPTE CETTE OFFRE. EN ACCEPTANT CETTE OFFRE, L’ACHETEUR RENONCE À TOUTES LES CONDITIONS GÉNÉRALES CONTENUES DANS LE BON DE COMMANDE DE L’ACHETEUR OU DANS D’AUTRES DOCUMENTS QUI SONT INCOMPATIBLES’ QUI DIFFÈRENT DE OU QUI VIENNENT S’AJOUTER À CELLES CONTENUES DANS LE PRÉSENT DOCUMENT OU DANS LES CONDITIONS GÉNÉRALES DU VENDEUR (QUE L’ACHETEUR ENVOIE OU PAS CES DOCUMENTS AVANT OU APRÈS QUE LE VENDEUR AIT ENVOYÉ CE FORMULAIRE), ET TOUTES LES CONDITIONS GÉNÉRALES INCOMPATIBLES, DIFFÉRENTES OU SUPPLÉMENTAIRES SERONT NULS ET NON AVENUS, ET SANS EFFETS.

1. Prix. Les prix sont sujets à changement par le Vendeur sans préavis. Les hausses des coûts dans les domaines de la main-d’œuvre, de fret et des matériaux avant l'achèvement d’un contrat plus les frais généraux applicables ainsi que les frais supplémentaires seront facturés à l’Acheteur.

2. Livraison ou performance. Sauf indication contraire au recto de la présente, toutes les livraisons sont F.A.B. point d’expédition. L’expédition sera effectuée conformément aux instructions émises par le Vendeur. Lors de la livraison des marchandises au transporteur, l’Acheteur assume tous les risques de pertes et de dommages résultant de quelque cause que ce soit. Les dates d’expédition, de livraison ou de performance sont approximatives et ne sont pas garanties. Le Vendeur utilisera des efforts commercialement raisonnables pour respecter les dates de livraison, mais n'est pas responsable de coûts directs ou indirects résultant de la livraison tardive. Le Vendeur se réserve le droit d'expédier et de facturer une quantité de marchandises pouvant varier jusqu'à dix pour cent par rapport à la quantité spécifiée et l'Acheteur accepte d'être livré et payé pour cette quantité révisée et considère que l'expédition comme étant complète. Les livraisons partielles seront acceptées par l’Acheteur et réglées selon les prix et les conditions du contrat. L’Acheteur n’a pas le droit de retarder la date de livraison ou d’expédition. Le Vendeur peut facturer des frais d’entreposage pour toute marchandise qu’il détient pour l’Acheteur.

3. Force majeure. Le Vendeur ne sera pas tenu responsable en cas de retard ou d’autre défaillance de performance en raison de causes indépendantes de sa volonté, y compris sans limitation, les actes de Dieu, les actes de l'Acheteur, les actes d'autorité militaire ou civile, le feu ou autre sinistre, les grèves, les lock-out, le temps, l'épidémie, pandémie, la guerre, les émeutes, les retards dans le transport ou la pénurie de voitures, l'incapacité d'obtenir la main-d'œuvre, les matériaux, les composantes, l'équipement, les services, l'énergie ou les services publics nécessaires à travers les sources habituelles et régulières du Vendeur habituellement aux prix réguliers ou l'échec ou l'incapacité du fabricant de la marchandise requise. Dans un tel cas, le Vendeur peut, en avisant l'Acheteur, à tout moment et de temps à autre sans autre responsabilité envers l'Acheteur (a) reporter sa performance, (b) faire des performances partielles ou annuler toute ou une partie du présent contrat ou (c) répartir les quantités disponibles parmi ses clients de la manière que le Vendeur juge raisonnable. L'annulation d'une partie du contrat ne modifie pas le droit du Vendeur à paiement pour exécution d'une autre partie.

4. Garantie et recours. Sauf indication contraire expresse au recto de la présente, le Vendeur garantit à l’Acheteur, pendant une période de 30 jours à partir de la date d’expédition et/ou de l’exécution des services, que les marchandises livrées en vertu de la présente sont conformes aux Spécifications actuelles du Vendeur. Les matériaux et services fournis par les fournisseurs ou sous-traitants du Vendeur et fournis par le Vendeur à l'acheteur sont garantis par le Vendeur uniquement dans la mesure où la garantie expresse du fournisseur ou du sous-traitant au Vendeur et uniquement dans la mesure où cette partie honore sa garantie après notification par le Vendeur. Si, au cours de cette période, l'Acheteur avise immédiatement le Vendeur par écrit de toute violation de cette garantie et s’est conformé aux procédures de garantie applicables du Vendeur, le Vendeur devra, à l'option du Vendeur, réeffectuer des services, réparer ou remplacer toutes marchandises défectueuses à l'usine du Vendeur ou rembourser le prix des marchandises ou services ou d'une partie de celui-ci qui donne lieu à la réclamation. Ce qui précède constitue le recours unique et exclusif de l'Acheteur et la responsabilité totale du Vendeur pour toute violation de la garantie. LA PRÉSENTE GARANTIE EST EXCLUSIVE ET REMPLACE TOUTES LES AUTRES GARANTIES, ÉCRITES, ORALES OU IMPLICITES, Y COMPRIS LES GARANTIES D’EXÉCUTION, DE QUALITÉ MARCHANDE OU D’ADÉQUATION À UN USAGE PARTICULIER. LA PRÉSENTE GARANTIE REMPLACE ET EXCLUT TOUTES GARANTIES OU REPRÉSENTATIONS ORALES, OU TOUTES GARANTIES OU REPRÉSENTATIONS ÉCRITES, EXPLICITES OU IMPLICITES, Y COMPRIS SANS S’Y LIMITER, CELLES STIPULÉES DANS LES MANUELS, LA DOCUMENTATION, LES BROCHURES PUBLICITAIRES OU TOUT AUTRES MATÉRIELS, OU BASÉES SUR LA COUTUME OU AUTREMENT. TOUTES LES GARANTIES D’EXÉCUTION, DE QUALITÉ MARCHANDE ET D’ADÉQUATION À UN USAGE PARTICULIER SONT REJETÉES PAR LA PRÉSENTE. Le Vendeur ne sera pas tenu responsable des dommages ou réclamations si l’Acheteur utilise des marchandises qui ne sont pas conformes aux Spécifications actuelles. Si l’Acheteur effectue des réparations ou modifie une marchandise, l’Acheteur renoncera alors à toutes réclamations au titre de la garantie. Aucune garantie ne peut être transmise aux acheteurs/utilisateurs subséquents des marchandises ou services. Par Spécifications actuelles s’entendent les dessins techniques actuels du fabricant des marchandises.

5. Limites de responsabilité du Vendeur. La responsabilité du Vendeur en cas de réclamations de toute sorte, y compris, mais sans s’y limiter, la négligence, en ce qui concerne les marchandises ou services, ne pourra en aucun cas dépasser le prix de la marchandise ou du service ou de la partie donnant lieu à la réclamation. EN AUCUN CAS LE VENDEUR NE SERA TENU RESPONSABLE POUR DES DOMMAGES SPÉCIAUX, INDIRECTS, ACCESSOIRES, CONSÉQUENTS, PUNITIFS OU EXEMPLAIRES, OU DES DOMMAGES SIMILAIRES (Y COMPRIS, MAIS SANS S’Y LIMITER, PERTE DE BÉNÉFICES OU DOMMAGES ÉCONOMIQUES), OU POUR DES DOMMAGES SOUS FORME DE PÉNALITÉS.

6. Utilisation par l'Acheteur. L’Acheteur accepte la responsabilité unique d’analyser et de déterminer l’adéquation de tout service et toutes les marchandises fournies par le Vendeur, y compris l’ensemble des pièces et composantes, et l’Acheteur s’engage à ne pas compter sur le Vendeur pour procéder à telles déterminations, même si le Vendeur a de l’assistance, des conseils ou un design. L’Acheteur assume l’entière responsabilité en matière d’usage ou d’objectif particulier. L’Acheteur ne commandera ou n’utilisera les marchandises ou services à moins qu’il soit convaincu que ces marchandises ou services conviennent à l’utilisation de l’Acheteur et sont conformes à l’ensemble de ses exigences. L’Acheteur accepte d’entreposer et d’utiliser tous les marchandises et services de manière sécuritaire. Le Vendeur avertit l’Acheteur et l’Acheteur accepte et reconnaît que les marchandises ne sont pas nécessairement compatibles avec le plastique, le verre, le métal ou les autres marchandises, et l’Acheteur s’engage de ne pas utiliser les marchandises avec des produits abrasifs, caustiques ou acides ou toute autre substance pouvant occasionner des dommages corporels ou matériels.

7. Limitation des actions. Toute action intentée contre le Vendeur en ce qui concerne les marchandises ou services qui font l'objet de ce contrat sera interdite et le Vendeur sera libéré par l'Acheteur si l’action n'est pas intentée par l'Acheteur dans un délai d'un (1) an à compter de la date de livraison de la marchandise ou service particulier qui donne lieu à la réclamation, nonobstant toute législation sur la prescription.

8. Indemnisation et renonciation. L'Acheteur défendra et indemnisera le Vendeur de tout coût, perte ou dommage subi par le Vendeur et à l'égard de toutes les réclamations revendiquées contre le Vendeur par l'Acheteur ou toute autre partie à l'égard des marchandises ou services qui font l'objet du présent contrat. Cette indemnité comprend, sans s'y limiter, les coûts, les pertes, les dommages et les réclamations découlant, en tout ou en partie : (a) du manquement de l'Acheteur, de ses agents, employés ou clients à respecter les spécifications, les instructions, les avertissements ou les recommandations fournis par le Vendeur, (b) du manquement de l'Acheteur, ses agents, employés ou clients à se conformer à toutes les lois et règlements applicables, y compris, mais sans s'y limiter, les lois et règlements fédéraux, provinciaux, étatiques et locaux applicables régissant les matières dangereuses ou la sécurité, tout comme ils peuvent être modifiés ou complétées de temps à autre, (c) de l’utilisation abusive de la marchandise par l'Acheteur, ses agents, employés ou clients, y compris l'utilisation de biens avec une substance qui cause des blessures à la personne ou à la propriété, (d) d’une déclaration inexacte faite par l'Acheteur, ses agents, ses employés ou ses clients, (e) de la négligence exclusive ou indirecte de l'Acheteur, ses agents, ses employés ou ses clients, (f) d’une violation présumée d'un brevet, d'une marque de commerce ou d'un droit d'auteur en raison de la performance du Vendeur conformément au design, plans, spécifications ou directives de l'Acheteur, ou (g) tous les actions en justice, passifs, dommages, blessures, réclamations, demandes et dépenses (y compris les honoraires d'avocat et les frais juridiques) de toute nature et nature découlant de la fabrication, de l'utilisation, l’entreposage, l’entretien ou la réparation des marchandises du Vendeur, indépendamment de ceux fabriqués, utilisés, exploités, entretenus ou entreposés et/ou résultant de réclamations fondées sur une responsabilité stricte imposée au Vendeur, à l'exception des réclamations résultant directement de la négligence grave du Vendeur. L'Acheteur renonce et libère le Vendeur de tous les droits de cotisation ou d'indemnité auxquels il pourrait avoir droit. Tel qu'utilisé dans ce paragraphe 8, le terme « Vendeur » s'entend du Vendeur, ses dirigeants, ses administrateurs, ses employés, ses parents, ses filiales, ses divisions, ses sociétés affiliées, des successeurs et ses ayants droit. Cette indemnité doit continuer à s'appliquer pleinement nonobstant la résiliation de toute commande ou du contrat.

9. Annulation par l'Acheteur. L'Acheteur peut annuler ce contrat uniquement moyennant l'accord écrit du Vendeur et le paiement de frais d'annulation raisonnables, y compris, sans s'y limiter: (1) le prix des marchandises, des services et des matières premières complétés ou commandés avant la réception du Vendeur de la demande d’annulation, ainsi qu’une marge de profit raisonnable sur ces marchandises, services ou matières premières commandés, (2) tous les coûts précédemment encourus dans le cadre de marchandises non complétées ou services non achevés, ainsi qu’une marge de profit raisonnable sur ces marchandises ou services, et (3) toutes les autres dépenses engagées par le Vendeur en raison de cette annulation. L'Acheteur convient que ces frais d'annulation sont une estimation véritable des dommages subis par le Vendeur à la suite d'une telle annulation et ne peut être interprété comme une pénalité.

10. Taxes. Toutes les taxes et autres frais imposés par les gouvernements fédéral, provincial, étatique, local ou étranger sur la fabrication, la vente, l'expédition, l'importation, l'exportation ou l'utilisation des marchandises (autres que les impôts sur le revenu) ne sont pas incluses dans le prix et doivent être payées par l'Acheteur. L'Acheteur défendra et indemnisera le Vendeur contre toute responsabilité pour les taxes ou frais et les honoraires d'avocat ou les frais engagés par le Vendeur en relation avec celui-ci. Le cas échéant, l'Acheteur doit fournir au Vendeur un certificat d'exonération fiscale des autorités fiscales.

11. Conseil et assistance. Sur demande, le Vendeur, à sa discrétion, peut fournir à l'Acheteur des conseils techniques, des services de conception ou une assistance concernant les marchandises ou les services. Le Vendeur n'assume aucune obligation ou responsabilité pour les conseils, les services ou l'assistance fournis ou les résultats obtenus, qui doit être au risque de l'Acheteur uniquement.

12. Matériel de l'Acheteur. Tous les outils, marchandises et autres biens de l'Acheteur doivent être entièrement assurés par l'Acheteur et l'Acheteur libère le Vendeur de toute responsabilité pour perte ou dommage causé à ces matériaux causés par la négligence du Vendeur ou autrement. Chaque fois qu'une (1) année s'est écoulée depuis l'achèvement de toute commande de l'Acheteur exigeant l'utilisation de tels matériaux, le Vendeur peut utiliser ou disposer de ces matériaux sans aucune responsabilité envers l'Acheteur.

13. Droits exclusifs du Vendeur. Le Vendeur est le seul propriétaire de tous les dessins, inventions, outils et améliorations réalisés par ou pour le Vendeur dans le cadre de l'exécution du présent contrat. L'Acheteur ne reproduira aucun dessin fourni par le Vendeur. L'Acheteur n’utilisera pas ni divulguera aucun des secrets commerciaux ou informations confidentielles du Vendeur, désigné ou non comme tels, sauf si requis en relation avec l'utilisation ou la revente des produits ou des services couverts par le présent contrat.

14. Crédit et recouvrement. Le Vendeur compte sur la représentation de la solvabilité de l'Acheteur et si le Vendeur croit raisonnablement que l'Acheteur est insolvable ou que son crédit est douteux, l'Acheteur est en violation substantielle du présent et le Vendeur peut, sans obligation envers l'Acheteur, retenir l'exécution, modifier les conditions de paiement et/ou reprendre possession des marchandises précédemment livrées. Le titre des marchandises restera acquis auprès du Vendeur jusqu'à ce que le paiement intégral soit reçu. En accordant tout crédit en vertu de la présente, l'Acheteur doit payer au Vendeur de l’intérêt sur le montant non payé au moindre du taux annuel maximal autorisé par la loi ou 1.5% par mois (18% par an), et si l'Acheteur ne paie pas selon les termes du présent contrat, le Vendeur peut appliquer les frais d’intérêt et peut également récupérer le montant non payé, l'Acheteur étant responsable envers le Vendeur de tous les frais de perception, y compris les honoraires d'avocat et les frais judiciaires. Sauf accord contraire écrit, toutes les factures doivent être réglées par virement électronique de fonds (TEF) ou par chèque.

15. Responsabilité financière de l'Acheteur. Si le Vendeur doute à tout moment de la responsabilité financière de l'Acheteur, le Vendeur peut exiger une assurance adéquate de la performance due ou refuser d'effectuer d'autres livraisons, sauf en cas de paiement en espèces à l'avance ou en garantie. Si le Vendeur exige une assurance adéquate de la performance due et telle assurance n'est pas disponible dans les 10 jours suivant la date de la demande du Vendeur, le Vendeur peut, à son choix (1) différer les livraisons sous tout ordre de l'Acheteur que le Vendeur a accepté jusqu'à ce que des assurances adéquates soient reçues ou (2) annuler cette commande et toute autre commande de l'Acheteur que le Vendeur a acceptées et récupérer des dommages et intérêts.

16. Divers. Ce contrat constitue l'intégralité de l'accord entre l'Acheteur et le Vendeur relatif aux marchandises ou services qui font l'objet des présentes. Aucune modification ne liera le Vendeur, sauf si elle a été signée par le représentant dûment autorisé du Vendeur. Si un terme ou une disposition du présent contrat est déclaré être invalide ou inapplicable, cette disposition sera appliquée dans la mesure permise par la loi applicable et le reste du contrat ne sera pas affecté ainsi que chaque terme et disposition du présent contrat doit continuer à être valide et appliquée dans toute la mesure permise par la loi. Aucune renonciation de l'une ou l'autre partie d’un défaut n'est considéré comme une renonciation à tout défaut subséquent. Les titres de rubriques ne servent qu’à faciliter les références et n’en modifient aucunement l’interprétation.

17. Choix de la loi et de la juridiction. Ces conditions générales doivent être interprétées conformément aux lois de la province de l’Ontario et les lois du Canada qui s’appliquent dans cette province, sans tenir compte des principes régissant les conflits de lois. L'Acheteur et le Vendeur reconnaissent la compétence exclusive des tribunaux du district de Toronto, province de l’Ontario, Canada; toutefois, l'une ou l'autre des parties peut intenter une demande d’injonction ou autre recours équitable devant tout tribunal compétent.

18. Frais d'avocat. Si le Vendeur poursuit une action en justice pour faire respecter ses droits, le Vendeur aura le droit de récupérer auprès de l'Acheteur tous les honoraires d'avocat raisonnables et tous les autres frais et dépenses engagés par le Vendeur dans le cadre de cette action.
